AirtableBackup Terms of Service

These terms are between you (the customer, "you") and [LEGAL ENTITY NAME], a California [ENTITY TYPE] doing business as [ENTITY] and as AirtableBackup ("we", "us"), with its address at [ADDRESS]. They govern your use of the AirtableBackup service at airtablebackup.com and app.airtablebackup.com (the "Service"). By creating an account you accept them. If you accept on behalf of a company, you confirm you may bind it.

1. What the Service does

1.1 The Service takes automated backups of the Airtable bases you connect to it, keeps a history of the changes it sees in those bases, and lets you put data back into your own Airtable account.

1.2 Backing up. After you connect a base, the Service reads it through Airtable's API and stores: records and field values; attachments; record comments; the base schema (tables, fields and field options; view names and types); and, where Airtable makes them available, the configuration of automations (including the source of script actions), form definitions and interface page metadata. It listens for changes as they happen and takes a full backup each night.

1.3 Change history. The Service records changes it observes (what changed, from what, to what, and when) so you can look at a table as it was at an earlier moment and download it as a CSV file.

1.4 Restoring. On your instruction the Service can write backed-up data into your Airtable account: into a new table beside the original (the default), over the original table (an explicit choice), into a new base, or as a change to specific cells ("Batch Fix"). Every restore is logged, verified and can be undone from the console, except that Airtable's API does not allow a table or base to be deleted, so an empty table or base created by a restore is yours to remove.

1.5 Optional nightly restore test. If you turn it on in Settings, each night the Service writes a small sample of backed-up records into a test base in a scratch Airtable workspace you name, reads them back and reports whether they match. It writes only to that workspace. You can turn it off at any time; the test base remains yours to delete.

1.6 Alerts and reports. The Service emails the recipients you list about problems it detects and, if you choose, a nightly report. You control the recipients and the level in Settings.

2. What the Service cannot do (Airtable's limits)

2.1 The Service can only back up what Airtable's API exposes. The following are not available through Airtable's API and are therefore not backed up and cannot be restored by the Service: view configuration (filters, sorts, grouping, colouring, field order); Airtable's own record revision history; and interface page layouts (the arrangement of elements on an interface page). Interface page metadata, form definitions and automation configuration are backed up as described in 1.2, but automations cannot be written back by the Service; the console shows the saved configuration and script for you to recreate by hand.

2.2 Some field types cannot be recreated exactly through Airtable's API (for example display formats of formula fields, rollup summary formulas, button, AI and sync fields). When a restore cannot reproduce something, the console lists it field by field as work to finish by hand rather than guessing.

2.3 Restores write at the speed Airtable allows. Large restores take time.

2.4 Airtable may change its API, its plans or its terms at any time. We will adapt where we can, but we cannot promise that anything Airtable withdraws will remain available.

3. Your account and trial

3.1 You create an account by signing in with Airtable. The first person to sign up for an email domain becomes the account's owner and may invite others by email. Owners and admins manage people, Airtable connections, alerts, settings and bases; members may read.

3.2 Trial. A new account gets a 14-day trial with every feature available. No payment card is required to start one. When the trial ends without a subscription the account becomes read-only (see 5.3).

4. Fees and payment

4.1 Subscriptions are sold and billed by Paddle.com Market Limited or its affiliate ("Paddle"), which is the merchant of record. Your purchase is also subject to Paddle's terms, shown at checkout. Paddle collects applicable sales tax and VAT.

4.2 The plan is priced per connected base. The price, the billing period and any taxes are shown at checkout and in Settings › Billing before you subscribe. The number of bases you may connect follows the quantity you have subscribed to.

4.3 You can change or cancel your subscription through the billing portal linked from Settings › Billing. A cancellation takes effect at the end of the period already paid for. Refunds are handled by Paddle under its refund policy [COUNSEL: confirm the refund position to state here].

5. Account lifecycle: what happens when a subscription lapses

5.1 A payment does not go through. The account continues to be served, with backups running, for 14 days of grace. We email your alert recipients and the console shows how to update payment details. If the payment is not recovered within those 14 days the account becomes read-only.

5.2 Cancellation or expiry. When your subscription ends, the account becomes read-only for 30 days, and after those 30 days it is "retained" until 90 days after the subscription ended. After 90 days the account's data is deleted.

5.3 Read-only means: backups stop; restores, Batch Fix, restore points, backup-speed changes and adding bases are refused; you can still sign in, browse your backups and change history, and export tables as CSV.

5.4 Retained means: nothing is readable by you in the console; the data exists only so that it can be brought back if you subscribe again within the window. Subscribing again at any point before deletion restores full service and backups resume.

5.5 Deletion means the backups, change history and account records held for your account are removed from our systems, under the controls described in our Retention and Deletion Policy. Deletion is permanent.

5.6 Trial end and unrecovered payments. The windows in 5.2 run the same way from the end of a trial that ends without a subscription, and from the end of the 14 days of grace in 5.1 when the payment was not recovered: the account is read-only for 30 days from that day, retained until 90 days from that day, and its data is deleted after that. Whichever of a cancellation, a trial's end or the end of grace comes first starts the clock; Settings › Billing shows the dates. Subscribing (or the payment going through) at any point before deletion restores full service as in 5.4.

6. Your responsibilities

6.1 The Airtable data you connect is yours (or your organisation's). You confirm that you have the right to connect each base, to have it copied to and stored by the Service, and to have it written back into Airtable, and that doing so does not break any law, contract or Airtable term that binds you.

6.2 You are responsible for the content of the bases you connect, including any personal data in them, and for the lawful basis on which it was collected. See the Privacy Policy and, where it applies, the Data Processing Addendum.

6.3 You keep your Airtable account and sign-in secure, and you are responsible for everything done through your account's Airtable connection and through the people you invite. If you believe your Airtable account or an AirtableBackup account member has been compromised, tell us at support@airtablebackup.com and disconnect the affected connection from Settings.

6.4 Access to a base through the Service follows your Airtable permissions: the Service shows a base only to account members who are collaborators on that base in Airtable, and it can read and write only what the Airtable sign-in you granted may read and write. If you revoke the connection in Airtable or remove a collaborator, the Service's access changes accordingly.

6.5 You choose where restores go and whether the nightly restore test is on. A restore over a live table, and a Batch Fix, change live data in your Airtable account on your instruction. Review what the console shows before you confirm.

7. Writes to your Airtable account

7.1 The Service writes to your Airtable account only (a) when you start a restore, a Batch Fix or an undo, after you sign in with Airtable a second time and grant write access for that session, or (b) each night into the scratch workspace you named, while the nightly restore test is turned on.

7.2 Backing up requires read access only. The Service never asks you for an Airtable personal access token.

8. Acceptable use

You must not: connect data you have no right to connect; use the Service to store or distribute unlawful material; attempt to reach another customer's data or test the Service's security without our written agreement; resell the Service or offer it as your own; put a volume or pattern of load through the Service that is intended to disrupt it or Airtable; or use the Service in breach of Airtable's terms. We may suspend an account that breaches this section, with notice where practical.

9. Availability and support

9.1 We run the Service with care but it is offered without a service-level agreement in this version. There is no committed uptime, recovery time or recovery point. Backups depend on Airtable's API being available and on the API request limits Airtable sets for your base.

9.2 Support is by email at support@airtablebackup.com during [SUPPORT HOURS / BUSINESS DAYS]. When a status page exists it will be linked from the console and from airtablebackup.com.

9.3 We may change, add or remove features. We will give reasonable notice of a change that removes something you rely on.

10. Our intellectual property; your data

10.1 We own the Service and everything in it other than your data. You get a non-exclusive, non-transferable right to use the Service for your own business while you have an account.

10.2 You keep all rights in the data you connect and the backups made from it. You grant us only the right to copy, store, process and write back that data as needed to provide the Service to you and as described in the Privacy Policy.

10.3 You may export your data at any time while your account is active or read-only.

11. Confidentiality and security

We keep your data confidential and protect it with the measures described in the Privacy Policy. We do not read your data except to operate, support or secure the Service, to investigate a suspected breach of these terms, or where the law requires.

12. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT EVERY CHANGE IN YOUR BASE WILL BE CAPTURED, OR THAT A RESTORE WILL REPRODUCE YOUR BASE EXACTLY. A BACKUP IS NOT A SUBSTITUTE FOR AIRTABLE'S OWN SNAPSHOTS AND REVISION HISTORY, AND YOU SHOULD CONTINUE TO USE THEM.

13. Limitation of liability

13.1 TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, HOWEVER CAUSED, EVEN IF ADVISED OF THE POSSIBILITY.

13.2 OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR [MINIMUM AMOUNT] IF YOU HAVE PAID NOTHING.

13.3 Nothing in these terms limits liability that cannot be limited by law.

14. Indemnity

You will defend and indemnify us against third-party claims arising from the data you connect, your breach of section 6 or 8, or your use of the Service in breach of the law or of Airtable's terms.

15. Termination

15.1 You may close your account at any time by cancelling your subscription through the billing portal and, if you want your data deleted sooner than the windows in section 5, by writing to support@airtablebackup.com.

15.2 We may suspend or terminate your account on notice if you breach these terms and do not cure the breach within [CURE PERIOD] days of notice, or immediately where the breach cannot be cured or endangers the Service or other customers. We may also end the Service as a whole on at least [WIND- DOWN NOTICE] days' notice, during which you may export your data.

15.3 Sections 5, 6, 10, 12, 13, 14, 16 and 17 survive termination.

16. Changes to these terms

We may update these terms. For a material change we will email the account's owners at least [NOTICE PERIOD] days before it takes effect and show the new effective date at the top. Continuing to use the Service after that date is acceptance. If you do not agree, cancel before the change takes effect.

17. Governing law and disputes

These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. The courts of [COUNTY], California have exclusive jurisdiction over any dispute, and each party consents to that venue. [COUNSEL: consider an arbitration clause and a class-action waiver, and whether the United Nations Convention on Contracts for the International Sale of Goods should be excluded.]

18. General

These terms, the Privacy Policy and, where signed, the Data Processing Addendum are the whole agreement. If a clause is unenforceable the rest stands. Neither party is liable for delay caused by events outside its reasonable control (which includes Airtable or AWS outages). You may not assign these terms without our consent; we may assign them to a successor of the business. Notices to us go to support@airtablebackup.com; notices to you go to the account owners' email addresses.
